Vytěsnění minoritních akcionářů

On 20 June 2018, Fortbet Holdings Limited ("Fortbet") initiated squeeze out proceedings before the Enterprise Chamber (Ondernemingskamer) of the Amsterdam Court of Appeals (Gerechtshof Amsterdam) under the applicable Dutch law provisions. On 30 October 2018, the Enterprise Chamber granted Fortbet's request and set the price at EUR 7.83 per share plus Dutch statutory interest as per 9 March 2018 (which comes down to EUR 7,94 per share as at 19 November 2018).

On 19 November 2018, Fortbet paid an amount corresponding to the number of Fortuna shares it did not already own into the consignment account of the Dutch Ministry of Finance. As such, Fortbet became the sole shareholder of Fortuna by operation of Dutch law and the former minority shareholders have a right to receive their share of the proceeds from the Dutch consignment office (i.e. EUR 7.94 per previously held share).

To ensure the most efficient distribution of proceeds, Fortuna understands that the CDCP is currently liaising with the Dutch consignment office to see if the entire amount can be paid out through the CDCP to all participants so that no further action is required from the participants and/or former shareholders. Participants may direct questions and requests in relation to the CDCP to the Fortuna contact at the CDCP, Zdena Kadlecová (kadlecova@pse.cz). Please note that all determinations with respect to the sufficiency of documentation provided by the CDCP, participants, banks or former shareholders seeking payment will be made in accordance with Dutch law and at the sole discretion of the Dutch consignment office.

Please also note that Fortuna understands that it will take the Dutch consignment office some time to process the payment by Fortbet and the request made by the CDCP.
